Terms of Hire for Passenger Vessels

(These Terms of Hire are to be read together with the Booking Form)

  1. ACCEPTANCE

1.1           Booking

If the Hirer makes or has made a booking with BCW for the hire of a Berthing Facility and BCW has recorded that booking following execution of the Booking Form by authorised representatives of BCW and the Hirer, then these Terms of Hire govern that hiring.

1.2            Use of Berthing Facility

By using the Berthing Facility or permitting or purporting to permit the use of the Berthing Facility by any one else the Hirer is taken to have agreed to, is bound by and must comply with these Terms of Hire (as they may be varied in accordance with clause 22).

2                ALLOCATION OF BERTHING FACILITY

Allocation of the Berthing Facility requested by the Hirer, will always be subject to availability and suitability for the use intended by the Hirer.  BCW will determine availability and suitability in its absolute discretion.

3                 PAYMENT OF percentage of HIRE FEE IF A FURTHER REQUEST IS MADE FOR A BOOKING WITH BCW FOR THE HIRE OF THE BERTHING FACILITY ON THE SAME DAY

(a)           In the event a request is made by an Additional Hirer for a booking with BCW for the hire of the Berthing Facility on the same day as a booking that has been recorded, following execution of the Booking Form by authorised representatives of BCW and the Hirer, then the Hirer must pay 20% of the Hire Fee to BCW within 14 days of request by BCW.

(b)           If the Hirer does not pay 20% of the Hire Fee to BCW in accordance with clause 2(a), BCW may accept the booking from the Additional Hirer.

4              USE AND ACKNOWLEDGMENT OF NON EXCLUSIVITY

4.1           Use

The Hirer may only use or permit the Berthing Facility to be used for the berthing of passenger vessels and the unloading and loading of passengers and goods from those vessels and for matters reasonably incidental or ancillary to that use such as negotiated between the parties.

4.2           Rights in Contract

The Hirer’s right to use the Berthing Facility rests in contract only and the Hirer has no tenancy or other estate or interest in the Berthing Facility, unless agreed by the parties.

4.3           Non‑Exclusivity

The Hirer’s right to use the Berthing Facility is a non exclusive right to be enjoyed in common with other persons authorised by BCW or at Law to use the Berthing Facility.  In using the Berthing Facility the Hirer must actively avoid any undue or unlawful interference with or impediment to the business or activities of those other persons at the Berthing Facility unless agreed by the parties.

4.4           Directions

The Hirer must comply with the reasonable directions and instructions of BCW or its agents, employees or contractors in connection with the Hirer’s use of the Berthing Facility.  The Hirer must permit BCW reasonable access to the vessel for the purposes of connecting and disconnecting Utility Services, gangway assessment and any other matters negotiated by the parties for facilitation of the vessel.

5              HIRE PERIOD

The Hirer has the right to use the Berthing Facility only for the duration of the Hire Period or such other period as BCW may permit.

6              GENERAL UNDERTAKINGS

The Hirer must:

(a)           comply with all Laws and Portside Wharf Requirements;

(b)           take all steps reasonably necessary to prevent the outbreak of fire, pollution and other hazards likely to cause loss or damage on or from the Berthing Facility during the Hire Period;

(c)           not make alterations or additions to the Berthing Facility without the prior written approval of BCW;

(d)           not install plant or equipment on the Berthing Facility without the prior written approval of BCW;

(e)           not erect advertisements, signs or notices on the Berthing Facility without the prior written approval of BCW, which approval will not be unreasonably withheld in the case of signs or notices required by Law which do not contain advertising material; and

(f)            not use any freshwater supplied by BCW for commercial purposes, including washing down of decks or for ballast usages.

7              CLEANING

7.1           Cleaning

The Hirer must ensure that:

(a)           the Berthing Facility is kept in a clean and tidy condition;

(b)           all rubbish and waste is placed in appropriate receptacles; and

(c)           all spillages are promptly identified and remedied.

7.2           End of each Hire Period

At the end of each Hire Period or such other period as BCW may permit, BCW will arrange for the Berthing Facility to be cleaned and for the Hirer to be charged for this.

7.3           Additional Cleaning Charge

If the Hirer fails to comply with the Hirer’s obligations under clause 7.1, BCW may carry out or cause to be carried out, at the Hirer’s cost, such rubbish removal, restoration, cleaning and other similar work as BCW sees fit.

8              BERTHING FACILITY SECURITY

8.1           Security Arrangements

The Hirer must comply with:

(a)           the security arrangements and ancillary procedures developed for the Berthing Facility;

(b)           any direction given by or on behalf of BCW under the Maritime Transport and Offshores Facilities Security Act, 2003 (Cth), the Transport Infrastructure Act (Qld) 1994 (Cth) or the Transport Infrastructure Act (Ports Regulation) 2005 (Qld); and

(c)           any obligation on the Hirer under the Maritime Transport and Offshores Facilities Act 2003 (Cth).

8.2           BCW to provide details

BCW will provide details of any security arrangements or ancillary procedures for the Berthing Facility on request by the Hirer, if permitted by Law.

8.3           Hirer's own expense

During the Hire Period, the Hirer must at the Hirer's own expense secure the vessel against entry of unauthorised persons, vehicles and goods, and comply with the directions of all relevant authorities, and of BCW in this regard.

8.4           BCW to notify

If BCW notifies the Hirer that it has entered into a Security Contract with a Security Services Provider then:

(a)           the Hirer must comply with (and ensure that all others claiming by, through or under the Hirer comply with) all directions and instructions of the officers, employees and representatives of the Security Services Provider;

(b)           BCW is not responsible for any failure or default by the Security Services Provider in providing the relevant security services under the Security Contract, except if BCW has been negligent in its appointment of the Security Services Provider or failed to address any default or non‑performance by the Security Services Provider;

(c)           the Hirer will be required to pay the Security Services Charge.

9               BERTHING FACILITY SAFETY

9.1           Occupational Health and Safety responsibility

The Hirer acknowledges that workplace health and safety on a vessel and at the Berthing Facility during the Hire Period is the responsibility of the Hirer.

9.2           Occupational Health and Safety obligations

The Hirer must:

(a)           ensure that its employees, sub‑contractors, agents, consultants, invitees and licensees are not exposed to conditions or practices that have the likely potential to cause personal injury or property damage;

(b)           fully comply with all Workplace Health and Safety Laws;

(c)           ensure that its employees and invitees comply with all workplace health and safety requirements;

(d)           immediately notify BCW of any incident or dangerous occurrence at the Berthing Facility and Portside Wharf which is notifiable to  WorkCover Queensland pursuant to the provisions of any Occupational Health and Safety Laws, including but not limited to the Workplace Health and Safety Act 1995 (Qld).

9.3           Emergencies

The Hirer shall, in the event of an emergency, accident or security situation, provide BCW and any other relevant agencies including the Queensland Police, the Australian Federal Police and medical services with reasonable access to the vessel.

9.4           Immediate notification to BCW

During a Hire Period as soon as practicable after becoming aware of any damage to the Berthing Facility or Portside Wharf or any injury to any person or circumstances likely to cause any damage or injury, the Hirer must advise or cause BCW to be advised of such damage, injury or circumstances or potential damage, injury or circumstances (as the case may be).

9.5           Detailed incident report

No later than 72 hours after the Hirer gives notice in accordance with clause 9.4 the Hirer must cause a detailed written report to be lodged with BCW in respect of the accident, event or other circumstances giving rise to the damage or injury or potential damage or injury (as the case may be).

10            BERTHING FACILITY CHARGES

10.1         Charges for Utility Services

(a)           The Hirer must pay BCW, or any relevant Utility Service provider, a charge for any Utility Services used by the Hirer at the Berthing Facility at the rate applicable to use of those Utility Services from time to time.

(b)           If the Hirer books a berth for longer than 5 days, the Hirer must provide a bond for Utilities to BCW and any outstanding amounts will be deducted from the final tax invoice issued by BCW to the Hirer, in relation to the Hire Fee.

10.2         Documentation to be Provided by the Hirer

The Hirer must promptly provide BCW with all documentation necessary to enable BCW to accurately calculate any charges for the purposes of this clause 10.  Without limitation, the Hirer will provide manifests for vessels loading or unloading passengers and goods within 5 business days from loading/discharge, and those manifests must include both weight and volume of goods and number of passengers embarking and disembarking.

10.3         Interest

If the Hirer does not pay any amount due under this clause 10 by the due date, in addition to any other rights of BCW, BCW may charge interest to the Hirer on the amount owed at the rate of 4% per month, compounded monthly.  Any such interest will be payable by the Hirer on demand as a liquidated debt.

10.4         Recalculation

If at any time an invoice previously sent to the Hirer under this clause 10, was incorrectly calculated, or based on incorrect information, BCW may calculate and send to the Hirer a further invoice and this clause 10 will apply to that further invoice.  The parties will make such reimbursements or additional payments as are necessary to ensure that payment is made by the Hirer of the correct amount due under this clause 10.

11.           TERMINATION

11.1         Breach by Hirer

If the Hirer is in material breach of these Terms of Hire BCW may terminate the use by the Hirer of the Berthing Facility at any time by written notice to the Hirer, if the Hirer is in material breach of these Terms of Hire.

11.2         Force Majeure

BCW may terminate the use by the Hirer of the Berthing Facility at any time by written notice if it considers that an Event of Force Majeure such that it will prevent BCW from providing the Berthing Facility for the use by the Hirer within the time period originally contemplated by the parties.

11.3         Unreasonably Delay in Time of Arrival

BCW may terminate the use by the Hirer of the Berthing Facility at any time by written notice to the Hirer if the Hirer has not arrived within a reasonable time after the time of the scheduled arrival.

11.4         BCW not Liable

The Hirer has no Claim against BCW including without limitation for any Loss which may be suffered by the Hirer, as a result of a termination by BCW under this clause 11.

12             FORCE MAJEURE

BCW has no liability whatsoever to the Hirer or anyone claiming by, through or under the Hirer if for any reason beyond BCW's reasonable control the Berthing Facility is not available or capable of being used or has been damaged or destroyed.  In such event however, BCW will use its best endeavours to provide the Hirer with an alternative suitable berth.

13            RELEASE

13.1         Use of the Berthing Facility at the Hirer's Own Risk

Subject to clause 13.2, the Hirer releases BCW from all Claims which the Hirer may have in the future against BCW for any loss or damage to property or injury to person of whatever nature and however arising in connection with the hire and use of the Berthing Facility.

13.2         Release

The release in clause 13.1:

(a)           extends to any industrial dispute, power failure or failure in or inadequacy of any service and any damage, interruption or disturbance arising from any activity being carried on, in or adjacent to the Berthing Facility and includes a release in respect of any economic loss and consequential damages; and

(b)           does not apply to the extent that any loss, damage or injury is the result of any wilful, negligent or other wrongful act or omission of BCW, or its representatives, or any breach by BCW of these Terms of Hire.

14            INDEMNITIES

14.1         Hirer's own risk

The Hirer must indemnify and keep indemnified BCW from and against all Claims which BCW suffers, incurs or becomes liable for arising out of or in connection with any Loss, (including any Loss arising from environmental damage, pollution or contamination) damage (excluding fair wear and tear), accident or injury of whatever nature or kind and however sustained or occasioned and whether to property or persons to the extent the Loss, damage, accident or injury arises from:

(a)           any wilful, negligent or other wrongful act or omission by the Hirer; and

(b)           any breach by the Hirer of these Terms of Hire; or

(c)           any one or more of the matters or things referred to in paragraphs (a) and (b) of this clause 14.

14.2         Release

The indemnity given by the Hirer to BCW in clause 14.1 does not apply to the extent that the Loss, damage, accident or injury is the result of the negligence or other wrongful act or omission of BCW, or its representatives.

14.3         Any Applicable Law

Nothing herein shall be construed or held to deprive the Hirer, as against BCW or any other person or party, of any right to claim limitation of liability provided by any applicable Law, statute or convention.

14.4         Hirer's Employee

In this clause 14, the Hirer includes the Hirer’s employees, agents, contractors, licensees, invitees, representatives or other persons claiming by, through or under the Hirer.

14.5         BCW to Indemnify

BCW must indemnify the Hirer in relation to all Claims against the Hirer to the extent that those Claims are caused or contributed to by the negligence or wilful acts or omissions of BCW including Claims in respect of:

(a)           loss of life or personal injury to any person; or

(b)           loss of or damage to the property of any person.

14.6         BCW liable for Damage

BCW must use its reasonable endeavours to ensure that neither it or any of its representatives, causes damage to the Berthing Facility or any property on the Berthing Facility (whether or not the property belongs to the Hirer or any third party).

14.7         Definition of BCW

In this clause 14, BCW includes BCW’s employees, agents, contractors, licensees, invitees, representatives or other persons claiming by, through or under BCW.

15            INSURANCE

15.1         Public Liability Insurance

Prior to the use of the Berthing Facility, the Hirer must obtain and maintain comprehensive public liability insurance for an amount of at least $20,000,000 (as varied by notice from BCW to the Hirer) and ensure that BCW is noted as an interested party.  The insurance must be for any single event and cover all operations by the Hirer on or about the Berthing Facility.  The insurance policy must be with a reputable insurance company and a Certificate of Insurance must be provided to BCW upon request, prior to use of the Berthing Facility by the Hirer.

15.2         Other Insurance

The Hirer warrants that any stevedore or other contractor which it engages or uses in relation to the Berthing Facility has appropriate insurance with a reputable insurance company in relation to the following:

(a)           workers’ compensation or similar employee insurance as required by any Laws; and

(b)           damage caused by contractors at the Berthing Facility including damage arising from the use of vehicles, cranes or any other machinery.

15.3         Effect on BCW’s Insurance

The Hirer will not do or allow anything which might:

(a)           increase the rate of insurance in relation to the Berthing Facility or Portside Wharf, effected by or on behalf of BCW;

(b)           render void or voidable BCW’s insurance; or

(c)           conflict with any requirement relating to BCW’s insurance.

15.4         Notification

The Hirer must, during the Hire Period, notify BCW of any:

(a)           damage, injury, death or Loss occurring in the Berthing Facility and any defect or want of repair in the Berthing Facility;

(b)           circumstances likely to cause damage, risk or hazard to any person or property in the Berthing Facility; and

(c)           event of occurrence which will, or is likely to result in a Claim being made by or against the Hirer, BCW or any other person in connection with the Berthing Facility, without delay.

16            DAMAGE AND INSPECTION

16.1         Hirer Responsible for Damage

The Hirer is responsible for any damage (excluding fair wear and tear) to the Berthing Facility or any adjacent areas (including, environmental damage, contamination or pollution) to the extent caused or contributed to by the Hirer’s use of the Berthing Facility including, without limitation, any damage caused by the impact of vessels or vehicles of the Hirer, its servants, agents or contractors before, during or after loading or unloading operations.

16.2         Joint Inspection

Before the commencement of the Hire Period, either BCW or the Hirer may require that the other undertakes a joint inspection of the Berthing Facility to ascertain the state of repair and condition of the Berthing Facility and BCW may require the Hirer to sign a certificate as to the condition of the Berthing Facility before the Hirer is permitted to use the Berthing Facility.  The certificate is prima facie but not conclusive evidence of the condition of the Berthing Facility as at the date of the certificate.

16.3         Repair and remediation

Any damage to the Berthing Facility or its surrounds resulting from the use of the Berthing Facility by the Hirer may be repaired or remedied by BCW at the expense of the Hirer.  The Hirer must pay to BCW any costs incurred by BCW in that regard (as a liquidated debt) within 14 days of a tax receipt from BCW for those costs.  Without limitation, this clause applies to any damage to the environment in or around the berthing facility or portside wharf resulting from or relating to damage, contamination or pollution caused by the vessel or by any materials or liquids from the vessel. 

16.4         Hirer's equipment

(a)           The Hirer must not leave equipment at the Berthing Facility without obtaining a written permit to occupy from BCW.

(b)           If the Hirer leaves equipment at the Berthing Facility the equipment shall be entirely at the Hirer's risk and the Hirer releases BCW from any Claim in relation to Loss or damage to the equipment.

(c)           BCW has a right to remove, sell or dispose of any equipment left unattended on the wharf or loading docks, service roads or any area of the Berthing Facility.

17            NO REPRESENTATIONS AND WARRANTIES

17.1         Terms of Hire

To the maximum extent permitted by Law, all understandings, agreements, warranties or representations (whether express or implied) are excluded from these Terms of Hire, other than those which are set out in writing in these Terms of Hire.

17.2         Suitability of Berthing Facility

The Hirer acknowledges that BCW has made no representations nor given any warranties as to the suitability of the Berthing Facility or any component of the Berthing Facility for the purpose for which the Hirer has hired the Berthing Facility.  The Hirer also acknowledges that the Hirer has independently assessed the suitability of the Berthing Facility for the Hirer’s purposes and understands that tides and weather may affect the utility or suitability of the Berthing Facility.

17.3         Aerobridge

The Hirer acknowledges that:

(a)           the passenger ship aerobridge at the Berthing Facility will only be provided by BCW where the vessel arrives with appropriate fittings to enable those gangways to be safely connected to the vessel;

(b)           the aerobridge can only be connected and operated by BCW’s employees or contractors; and

(c)           the aerobridge will be connected and operated in accordance with the Aerobridge Procedures in the form attached in Schedule 2.

18             DIRECTIONS OF BCW

The Hirer must promptly comply with all reasonable directions from BCW and its agents, employees, contractors and agents from time to time in relation to use of the Berthing Facility.

19             IMPACT ON OTHER PERSONS

The Hirer must:

(a)           not create any unnecessary interference, or any obstruction or danger to any other user of the Berthing Facility;

(b)           not interfere in any way with users of any area, for or other facilities within Portside Wharf;

(c)           prevent nuisance and unreasonable noise and disturbance in using the Berthing Facility; and

(d)           ensure that it coordinates its activities with other users of the Berthing Facility and Portside Wharf.

20            GOVERNING LAW AND SERVICE

20.1         Non‑Exclusive Jurisdiction

The meaning and interpretation of these Terms of Hire and the Hirer’s relationship with BCW under them are governed by the Laws of Queensland.  The Hirer submits to the non‑exclusive jurisdiction of courts exercising jurisdiction in Queensland.

20.2         Claims

The Hirer undertakes when called upon by BCW to do so to instruct solicitors in Brisbane, Australia to accept service of any proceedings issued by or on behalf of BCW in connection with any Claim arising under or out of or in connection with the Hirer’s hire or use of the Berthing Facility and further agrees that the claim of each party against the other and all issues between the parties is respect of any Claim shall be exclusively determined by a competent Australian court unless otherwise agreed between the parties.

21           GOODS AND SERVICES TAX

21.1         Interpretation

In this clause 21 and where used elsewhere in these Terms of Hire:

Act means A New Tax System (Goods and Services Tax) Act 1999.

GST, taxable supply, input tax credit, supply and tax invoice have the same meaning as in the Act.

GST rate means 10% or if the rate at which GST is calculated under the Act changes, the rate applicable at the relevant time.

A reference to payment given or received includes a reference to consideration other than money given or received.

21.2         Acknowledgment

Moneys payable under these Terms of Hire by one party (the Payer) to another (the Recipient) have been calculated exclusive of GST.

21.3         Payment of GST

Where a taxable supply is made the recipient is entitled to payment of an additional amount equal to the GST in respect of the supply, payable by the payer at the same time as payment for the supply is made.

21.4         Reimbursements

When calculating the amount of:

(a)           any reimbursement to the Recipient under these Terms of Hire; and

(b)           the indemnification under these Terms of Hire of an expense, loss or liability incurred or to be incurred by the Recipient,

the Recipient may include the GST paid or payable on the supply giving rise to the amount, but if the Recipient includes the GST it must deduct the amount of any input tax credit to which it is entitled in respect of the supply.

21.5         Tax invoice

The Recipient must give to the Payer within 21 days of a request being made by the Payer, a tax invoice in respect of a taxable supply.

22.           VARIATION

These Terms of Hire may only be varied by written agreement between BCW and the Hirer.

23            GENERAL PROVISIONS

23.1         Provisions of Terms of Hire

Any provision of these Terms of Hire which is illegal, void or unenforceable is ineffective only to the extent of that illegality, voidness or unenforceability without invalidating the remaining provisions.

23.2         Each Party to Perform Acts

Each party must do and perform all acts, matters and things as may be necessary or convenient to implement these Terms of Hire.

23.3         Indemnity & Release in terms of Hire

Each indemnity and release in these Terms of Hire is a continuing and principal obligation, separate and independent from the other obligations of the party giving it and survives any completion or termination of the Hire Period.

23.4         Interpretation

In these Terms of Hire unless the contrary intention appears:

(a)           a reference to these Terms of Hire means this document and includes any agreed written variation;

(b)           a reference to a statute or other Law includes regulations and other instruments under it and consolidations, amendments, re enactments or replacements of any of them;

(c)           singular includes the plural number and vice versa;

(d)           a reference to a party includes a reference to the party's executors, administrators, legal representatives, successors and permitted assigns and the party's employees, agents and representatives.

23.5         Headings

All headings in these Terms of Hire have been inserted for ease of reference only.  They do not affect the meaning or interpretation of these Terms of Hire.

24            DICTIONARY

In these Terms of Hire:

Additional Hirer means any passenger vessel operator, other than the Hirer, who wishes to hire the Berthing Facility.

Administration Fee means 5% of the Hire Fee .

Berthing Facility means the terminal and other facilities operated by BCW at Portside Wharf for the berthing of passenger vessels and the unloading and loading of passengers and goods from those vessels.

Booking Form means the booking form in Schedule 1.

Business Day means a day that is not a Saturday, Sunday or any other day which is a public holiday or a bank holiday in the place where an act is to be performed or a payment is to be made.

Claims means all obligations, sums of money, actions, suits, proceedings, causes of action, accounts, losses, judgments, orders, demands, costs and expenses whatever, whether arising under these Terms of Hire, Law, equity or statute.

Event of Force Majeure means the occurrence of any event or circumstance beyond the reasonable control of BCW including without limitation:

(a)           a war (declared or undeclared), civil commotion, military action, act of sabotage or vandalism;

(b)           act or potential threatened act of terrorism which could impact in any way on the Berthing Facility or Portside Wharf;

(c)           strike, lock out, blockade, picketing action or industrial action, dispute or disturbance of any kind;

(d)           act of omission of a government authority, including any change of Law;

(e)           act of God;

(f)            storm, tempest, fire, flood, earthquake or other natural calamity;

(g)           breakdown or failure of any plant, services, machinery or equipment or unavailability of essential goods, supplies or services; or

(h)           any event resulting in an inability to allow use of the Berthing Facility or resulting in an interruption or delay in permitting use of the Berthing Facility.

Hire Fee means the fee quoted by BCW in the Booking Form, and accepted by the Hirer, and includes the  Administration Fee.

Hire Period means the period of the hire by the Hirer of the Berthing Facility as specified in the Booking Form.

Laws means all statutes, rules, regulations, proclamations, ordinances and by‑laws, present or future and includes the requirements or orders of any competent government, municipal or public authority in connection with the use of the Berthing Facility or any ancillary areas.

Loss means any damage, loss (including consequential loss, or loss of income, profits or use), liability, compensation, cost, charge, expense or other obligation whether arising under contracts, tort or otherwise, and arising indirectly.

Port of Brisbane means the Port of Brisbane as defined from time‑to‑time by any laws of Queensland.

Portside Wharf means Portside Wharf, Hercules Street, Hamilton, Queensland 4007

Portside Wharf Requirements means any policies, rules, regulations or notices relating to the use of the Berthing Facility or Portside Wharf, enacted or published from time to time by any government authority by BCW or by any other entity with any control or authority in relation to all or part of the Berthing Facility or Portside Wharf.

Security Contract means a contract for the provision of security services entered into between BCW as principal and the Security Services Provider as contractor in a form acceptable to BCW.

Security Services Charge means the cost to BCW under the Security Contract for the Berthing Facility for the Hire Period.

Security Services Provider means the contractor under the Security Contract.

Utility Services means any utility services provided at the Berthing Facility including without limitation water, electricity, gas, telephones or computer connections.

Workplace Health and Safety Laws means:

(a)           Workplace Health and Safety Act 1995 (Qld);

(b)           Workplace Health and Safety Regulation 2008 (Qld);

(c)           Dangerous Goods Safety Management Act 2001 (Qld);

(d)           Dangerous Goods Safety Management Regulation 2001 (Qld).
